Terms and Conditions – cpaphero

By placing an order with cpaphero (“we,” “us,” “our”), you (“Reseller,” “Customer,” “you”) agree to the following terms:

1. Eligibility

You must be a business entity with appropriate licenses to purchase and resell durable medical equipment (DME) and related products. We reserve the right to verify documentation at any time.

2. Orders & Payment

• All orders are subject to acceptance and availability.
• Payment terms are due at time of shipment unless otherwise agreed in writing.
• Late payments may incur interest at 1.5% per month (18% annually).
• We reserve the right to hold or cancel future orders on overdue accounts.

3. Pricing

• Prices are in USD and subject to change without notice.
• Volume pricing or discounts require prior written agreement.
• Shipping, handling, and applicable taxes are charged separately.

4. Shipping & Delivery

• Title and risk transfer upon shipment from our warehouse unless otherwise agreed in writing.
• Delivery dates are estimates only. We are not liable for delays beyond our control.
• Shipping errors or damages must be reported in accordance with cpaphero Returns Policy.

5. Returns & Credits

• Returns must be pre-approved with an RMA number.
• Returns subject to cpaphero Return Policy

6. Product Use & Compliance

You agree to use, resell, and market products in accordance with all applicable laws, including those governing medical devices and patient privacy.

7. Intellectual Property

All branding, trademarks, and materials on our site or in our products are the property of cpaphero or its licensors. No use without express written consent.

8. Limitation of Liability

To the fullest extent permitted by law, cpaphero is not liable for indirect, incidental, or consequential damages. Our total liability is limited to the purchase price of the product.

9. Indemnity

You agree to indemnify and hold cpaphero harmless from any claims, losses, or damages arising from misuse, unauthorized resale, or non-compliance with applicable laws.

10. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles. Disputes shall be resolved in Maricopa County, Arizona.

11. Modifications

We reserve the right to update these Terms at any time. Continued business with cpaphero constitutes acceptance of the updated Terms.
